This website is operated by RecycleFarm Korea. Throughout the site, the terms “we”, “us” and “our” refer to RecycleFarm Korea. RecycleFarm Korea offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. 

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.

SECTION 1 - ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services.

The agreement to arbitrate requires (with limited exception) that you submit claims you have against us to binding and final arbitration, and further (1) you will only be permitted to pursue claims against Starpower on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding, (2) you will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis, and (3) you may not be able to have any claims you have against us resolved by a jury or in a court of law.

We reserve the right to refuse Service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by us.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or Service made on this site is void where prohibited.
We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. If you are blocked by RecycleFarm Korea from accessing the Goods or Service (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address or virtual private network).

We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses. 

SECTION 13 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY 
Our Goods are guaranteed against manufacturing defects for 1 year from the original date of purchase. Our sole obligation during this period is to repair or replace the defective part or product with a comparable part or product at our sole discretion. The defects should be identified within the limitation defined by RecycleFarm Korea. Once the defect is confirmed, you can mail the product to RecycleFarm Korea. The cost of shipping to and from our facility will be the responsibility of the consumer.

Except for such repair or replacement, the sale, processing, or other handling of this product is without warranty, condition, or other liability, even if the defect or loss is caused by negligence or other fault. Damage resulting from use, accident, modification, or normal wear and tear is not covered by this or any warranty.

After the warranty period, any repairs will be subject to a fee, and the consumer will be responsible for both the repair costs and the round-trip shipping costs.

We assume no liability for any accident, injury, death, loss, or other claims related to or resulting from the use of this product. In no event shall we be liable for incidental or consequential damages relating to or resulting from the use of this product or any of its parts. Returns or replacements of parts and/or products may be subject to shipping, handling, replacement, and/or restocking fees.

Except as expressly set forth in the warranty section above: (a) the goods are provided without any warranties or support of any kind, whether oral or written, express or implied, including any warranty of merchantability, fitness for a particular purpose, title, or non-infringement, and no other representations or claims of any kind will be binding on or obligate us; (b) the goods are expressly provided to you “as is”; (c) if any technical support or assistance is provided with respect to the goods and the use thereof, it is provided “as is,” without warranties, representations, or conditions of any kind, express or implied; (d) the company does not warrant that the use or operation of the goods will be uninterrupted or error-free; and (e) you bear all risks relating to the use of the goods and the quality and performance of the goods and services and assume the entire cost of all necessary servicing, repair, or correction. These terms state your sole and exclusive remedies.

We do not guarantee, represent, or warrant that your use of our Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable. You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and Services delivered to you through the Service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall RecycleFarm Korea, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

If you are a user from New Jersey, the foregoing sections titled “Disclaimer of Warranties” and “Limitation of Liability” are intended to be only as broad as is permitted under the laws of the State of New Jersey. If any portion of these sections is held to be invalid under the laws of the State of New Jersey, the invalidity of such portion will not affect the validity of the remaining portions of the applicable sections.

SECTION 14 - INDEMNIFICATION
You agree to indemnify, defend, and hold harmless RecycleFarm Korea and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, your violation of any law or the rights of a third-party, or your misuse of the Goods. This indemnification also covers any claims resulting from injury and/or death of any person or damage to or loss of any property arising out of your negligence, wrongful act, error, or omission.

SECTION 15 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions. If a court or the arbitrator decides that any term or provision of this Arbitration Agreement (other than the subsection (b) above titled “Prohibition of Class and Representative Actions and Non-Individualized Relief”) is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement will be enforceable as so modified. If a court or the arbitrator decides that any of the provisions of subsection (b) above titled “Prohibition of Class and Representative Actions and Non-Individualized Relief” are invalid or unenforceable, then the entirety of this Arbitration Agreement will be null and void, unless such provisions are deemed to be invalid or unenforceable solely with respect to claims for public injunctive relief. The remainder of these Terms of Service will continue to apply.

SECTION 16 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 17 - ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 18 - GOVERNING LAW
You will comply with all applicable laws, regulations and ordinances and maintain in effect all the licenses, permissions, authorizations, consents and permits that you need to carry out your obligations under this Agreement. You will comply with all export and import laws of all countries involved in the sale of the Goods and Services under these Terms, including the South Korea Export Administration Regulations. You assume all responsibility for shipments of Goods or performance of any Services requiring any government import clearance. Company may terminate these Terms if any governmental authority imposes antidumping or countervailing duties or any other penalties on the Goods or Services. By ordering the Goods or using the Service, you represent and warrant that: (i) you are not located in a country or territory that is subject to a South Korea Government export embargo, (ii) you are not listed on any South Korea Government list of prohibited or restricted parties, and (iii) you will not use the Goods or Services for any prohibited end use, including for activities related to nuclear proliferation, chemical or biological weapons, missile proliferation, military end use, or military-intelligence end use. You agree not to resell, export, re-export, release, or transfer the Goods or Services, whether directly or indirectly, to any end-user or to any country, other that the end-user and destination country identified on the purchase order. Dispute Resolution By Binding Arbitration – For Users Entering into these Terms of Service as Individuals

SECTION 19 - MISCELLANEOUS
Company will have no liability under these Terms for Company’s failure or delay in performing any of the obligations imposed by the Terms to the extent such failure or delay is the result of any event beyond Company’s control. In the event that any provision of these Terms are found to be unenforceable, such provision will be reformed only to the extent necessary to make it enforceable, and the remainder will continue in effect, to the extent consistent with the intent of the parties as of the effective date of this Agreement. These Terms will be governed by the laws of South Korea without regard to its conflict of law provisions. With respect to any disputes or claims not subject to arbitration, as set forth above, you and Starpower submit to the personal and exclusive jurisdiction of the courts located within South Korea. Nothing in these Terms will be construed to place the parties hereto in an agency, employment, franchise, joint venture, or partnership relationship. Neither party will have the authority to obligate or bind the other in any manner, and nothing herein contained will give rise or is intended to give rise to any rights of any kind to any third parties. Neither party will represent to the contrary, either expressly, implicitly or otherwise. You may not assign or transfer these Terms in whole or in part, without the prior written consent of Company. Any attempted assignment, delegation or transfer by you in violation hereof will be null and void. Subject to the foregoing, these Terms will be binding on the parties and their successors and assigns. The headings and captions used in these Terms are used for convenience only and are not to be considered in construing or interpreting these Terms.
